3. Proposal and Scope

3.1 Proposal stage

A project normally starts with a written scope, proposal, or analysis response. The commercial and delivery details become binding only after they are confirmed in writing by both sides.

3.2 Scope changes

If the project scope changes after approval, timing, budget, or deliverables may also need to change. Material scope changes should be confirmed in writing before implementation continues.

4. Payments

4.1 Payment structure

Payment timing and milestones depend on the approved scope. Where a project is split into milestones, deposit, mid-project, and final payment steps may be used.

4.2 Delays and pauses

Material payment delays can pause work, scheduling, or delivery until the commercial issue is resolved.

4.3 Refunds

If work has already started, payments already earned for completed or committed work are generally non-refundable unless a written agreement states otherwise.

5. Delivery Timing

Delivery timing depends on scope complexity, approvals, content availability, and client response speed.

  • Missing content or assets can delay progress.
  • Feedback cycles affect schedule accuracy.
  • Scope changes can shift delivery timing.
  • Third-party platform issues can affect launch or integration steps.

6. Intellectual Property

6.1 Project outputs

Ownership and usage rights for delivered work are defined by the final written agreement. Third-party libraries, SaaS products, fonts, and licensed assets remain subject to their own licenses.

6.2 Portfolio use

Unless a separate confidentiality restriction exists, ilkkod may refer to completed work as part of its portfolio or case reference material.

6.3 Client-provided assets

You are responsible for ensuring that any text, images, video, data, or credentials you provide can lawfully be used for the project.

7. Client Responsibilities

  • Provide timely feedback and approvals
  • Supply content, credentials, and assets when required
  • Handle third-party account ownership where relevant
  • Meet legal obligations related to the business and its content
  • Avoid requesting unlawful, deceptive, or infringing material

8. Warranty and Liability

8.1 Technical fixes

If a delivered item includes a reproducible technical issue within the agreed support window, we review and fix it within the scope of that delivery.

8.2 Exclusions

  • Client-made changes after handoff
  • Third-party outages or platform policy changes
  • New feature requests beyond the approved scope
  • Hosting, domain, or provider issues outside our control

8.3 Liability cap

To the extent allowed by applicable law, indirect or consequential damages are excluded and any direct liability is limited to the relevant paid service amount.

9. Confidentiality and Data Protection

10. Termination

Either side may end a project or discussion in writing, subject to the current commercial commitments, completed work, and any outstanding invoices or access handoff tasks.

11. Support and Maintenance

Ongoing maintenance, content support, and improvement work are optional unless explicitly included in the active agreement.

12. Disputes

We prefer to resolve disputes through direct discussion first. If a formal legal process is required, the applicable governing forum is defined by the signed commercial agreement and the relevant legal requirements.
